By accessing or placing an order through shop.regagro.com (the “Website”), you confirm that you have read, understood, and agree to be bound by these Terms of Use & Sale (“Terms”). If you do not agree, please do not use this Website.
1. Parties, Operator Identity & Definitions
1.1 Operator / “We” / “Us”. The Website is owned and operated by ANTBNR SOFTWARE LTD, a company incorporated in the Republic of Cyprus under registration number HE 408470, with its registered office at Chrysanthou Mylona 1, PANAYIDES BUILDING, 3rd Floor, Flat/Office 1, 3030 Limassol, Cyprus (“ANTBNR”). ANTBNR trades under the brand name RegAgro and operates the Website.
1.2 Marketplace Platform. The Website operates as a managed multi-vendor marketplace (“Platform”). ANTBNR acts both as the Platform operator and, in certain territories, as a direct vendor. Authorised distributors (“Vendors”) may operate country-specific storefronts on the Platform. Vendor storefronts are created and configured by ANTBNR; Vendors are granted limited access to manage their assigned product listings and to view their own orders. Each Vendor is an independent legal entity responsible for fulfilling orders within their designated territory.
1.3 “You” / “User”. Any individual or legal entity who accesses the Website, creates an account, or places an order. By using the Website you represent that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts.
Key Definitions
- Order: “Order” means a purchase request submitted through the Website checkout.
- Product(s): “Product(s)” means physical goods listed on the Website, including pet identification kits, microchip readers, thermochip devices, and related accessories.
- Vendor: “Vendor” means an authorised distributor appointed by ANTBNR to operate a country-specific storefront on the Platform, with access limited to managing their assigned product listings and viewing their own orders.
- Stripe Connect: “Stripe Connect” means the payment processing infrastructure (Stripe, Inc.) used to facilitate payments to ANTBNR and payouts to Vendors.
- Direct Shipment: “Direct Shipment” means shipment fulfilled directly from the origin warehouse (currently in the People’s Republic of China) to the delivery address.
2. Acceptance of Terms & Modifications
2.1 These Terms constitute a legally binding agreement between you and ANTBNR. Your use of the Website, creation of an account, or placement of any Order constitutes irrevocable acceptance of these Terms in full.
2.2 ANTBNR reserves the right to modify these Terms at any time. Changes take effect upon posting to the Website with an updated “Effective Date.” We will notify registered users by email at least 14 days before material changes affecting existing orders. Your continued use of the Website after that date constitutes acceptance of the revised Terms.
2.3 If you do not agree to a modification, your sole remedy is to cease using the Website and cancel any pending orders in accordance with Section 9.
3. Account Registration & Security
3.1 You may be required to register an account to place Orders. You agree to provide accurate, current, and complete information and to update such information as necessary.
3.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at legal@regagro.com if you suspect unauthorized access.
3.3 ANTBNR reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.
4. Products, Listings & Descriptions
4.1 We make reasonable efforts to display Products accurately, including descriptions, images, and specifications. However, we do not warrant that descriptions or images are error-free, complete, or current.
4.2 Certain Products (e.g., microchips, veterinary devices) may be subject to regulatory requirements in your country of import. It is your sole responsibility to ensure compliance with all applicable laws, permits, and veterinary regulations before placing an Order.
4.3 ANTBNR and Vendors reserve the right to limit quantities, discontinue Products, or refuse Orders at any time without liability.
4.4 Products on the Platform are supplied by ANTBNR SOFTWARE LTD. In territories where an authorised Vendor operates, orders are fulfilled by that Vendor acting as an authorised distributor for their country. Each storefront page identifies the fulfilling entity as “fulfilled by [Vendor Name], authorised distributor for [Country] — products supplied by ANTBNR SOFTWARE LTD.” Vendor storefronts carry the same RegAgro product catalogue; Vendors are responsible for the accuracy of any localised product descriptions or specifications they maintain within their storefront.
5. Pricing, Taxes & Payment
5.1 Prices. All prices are displayed in the currency shown on the checkout page and are inclusive of applicable EU VAT (where applicable) unless otherwise stated. Prices are subject to change without notice prior to Order confirmation.
5.2 Taxes & Import Duties. As Products are shipped directly from China, they may be subject to customs duties, import taxes, and local VAT in the destination country. These charges are the sole responsibility of the buyer and are not included in the Product price or shipping fee displayed on the Website. ANTBNR and Vendors are not liable for any delays caused by customs clearance procedures.
5.3 Payment Processing. All payments on the Platform are processed via Stripe, Inc. (“Stripe”) through Stripe Express Connect. By placing an Order, you agree to Stripe’s Terms of Service (available at stripe.com/legal). ANTBNR does not store your full card details. All transactions are encrypted via TLS/SSL.
5.4 Vendor Payouts via Stripe — Direct Transfer Model. When a customer places an order, the full payment amount is transferred directly to the Vendor via Stripe Express Connect at the time of transaction. The Platform Operator (ANTBNR) does not charge a service commission and does not hold or retain any portion of Vendor funds. Vendors are required to maintain a verified Stripe Express account to receive payouts. Payout timing is subject to Stripe’s standard processing schedule and the Platform’s disbursement settings. ANTBNR is not responsible for delays, holds, or restrictions imposed by Stripe on Vendor accounts.
5.5 Alternative Payment Method — PayPal. In addition to Stripe, the Platform offers PayPal as an alternative payment method, processed via PayPal Holdings, Inc. (“PayPal”). By choosing to pay via PayPal, you agree to PayPal’s Terms of Service and User Agreement (available at paypal.com/legalhub). When a customer completes a purchase via PayPal, the full payment amount is transferred directly to the Vendor through the PayPal Marketplace infrastructure. The Platform Operator does not charge a service commission and does not hold or retain any portion of Vendor funds.
5.6 PayPal Vendor Requirements & Payout Timing. Vendors are required to connect a verified PayPal Business account to receive payouts via this method. Upon connecting, a Vendor’s existing personal PayPal account will automatically be upgraded to a Business account by PayPal. Payout timing is subject to PayPal’s standard processing schedule and the Platform’s disbursement settings. The maximum disbursement delay is 29 days, after which PayPal automatically releases funds to the Vendor. ANTBNR is not responsible for delays, account limitations, holds, or restrictions imposed by PayPal on Vendor accounts. PayPal transaction fees are non-refundable; in the event of a refund, the original processing fee charged by PayPal will not be returned to the Vendor or to ANTBNR.
5.7 Payment Gateway Independence. Stripe and PayPal operate as independent payment methods. Customers select one payment method per transaction. It is not possible to split a single order payment between both gateways simultaneously.
5.8 Currency & Conversion. If your payment card or PayPal account is denominated in a different currency, your bank, card issuer, or PayPal may apply conversion fees. ANTBNR is not responsible for such fees.
6. Order Process & Contract Formation
6.1 Placing an Order constitutes an offer to purchase. A binding contract is formed only upon our issuance of an Order Confirmation email confirming acceptance and payment.
6.2 ANTBNR reserves the right to cancel any Order before shipment if: (a) Products are out of stock; (b) there is a pricing error; (c) your payment cannot be verified; or (d) we reasonably suspect fraud. In such cases, a full refund will be issued to the original payment method within 5–10 business days.
6.3 For orders placed through a Vendor storefront, the Vendor is responsible for order fulfillment. ANTBNR does not guarantee Vendor fulfillment timelines, though we will mediate disputes.
7. Shipping, Delivery & Risk of Loss
7.1 Direct Shipment from China. All Products are dispatched directly from the fulfillment warehouse of REGAGRO TECH CO., LTD (USCC: 91310118MA1JLHF610), Room 201, Building 2, No. 361, Zhengxia Road, Liantang Industrial Park, Qingpu District, Shanghai, China — the affiliated entity responsible for manufacturing, warehousing, and logistics. Estimated delivery times are indicative only and may vary depending on destination country, customs clearance, and carrier capacity.
Indicative delivery windows:
- Europe (EU/EEA): 15–25 business days
- CIS / Post-Soviet countries: 20–35 business days
- Asia-Pacific: 10–20 business days
- Rest of World: 20–40 business days
7.2 Risk of Loss. Risk of loss and title to Products passes to you upon handover to the carrier (Ex Works / FOB origin). ANTBNR is not liable for loss, theft, or damage occurring after handover to the carrier.
7.3 Customs Clearance. You are the importer of record for your order. You are responsible for providing any required import permits, licenses, or documentation. Failure to clear customs may result in the order being returned or destroyed; in such cases refunds may be reduced by carrier return fees.
7.4 Tracking. Tracking information will be provided via email once your order is dispatched. ANTBNR is not responsible for delays caused by third-party carriers.
8. Vendor Storefronts — Authorised Distributor Model
8.1 Nature of Vendor Storefronts. ANTBNR creates and configures all Vendor storefronts on the Platform. Vendors are authorised distributors appointed by ANTBNR to fulfil orders within a specific country or territory. Vendors do not independently join the Platform; their accounts are set up by ANTBNR and access is limited to: (a) managing product listing details and localised descriptions within their storefront; and (b) viewing and processing their own orders. Vendors may not add products that are not part of the RegAgro catalogue approved by ANTBNR.
8.2 Vendor as Seller of Record. When you place an order through a Vendor storefront, the sale contract is formed between you and the Vendor as the seller of record for that territory. ANTBNR acts solely as Platform operator and payment facilitator. ANTBNR is not a party to that sales contract except to the extent of its obligations under these Terms and the Buyer Protection Policy (Section 11).
8.3 Vendor Responsibility for Localised Content. All core product descriptions, specifications, and imagery on the Platform are provided by ANTBNR. To the extent a Vendor has modified or added localised descriptions, translations, or specifications within their storefront, the Vendor bears sole responsibility for the accuracy and completeness of that localised content. ANTBNR does not independently verify localised Vendor content but reserves the right to review and remove any content that does not meet Platform standards.
8.4 Dispute Resolution with Vendors. In the event of a dispute arising from a Vendor order (e.g., non-delivery, item not as described), you should contact the Vendor directly in the first instance. If the dispute is not resolved within 7 business days, you may escalate to ANTBNR at legal@regagro.com. ANTBNR will mediate and may, at its sole discretion, issue a refund or credit under the Buyer Protection Policy (Section 11).
8.5 ANTBNR Acting as Vendor — Conflict of Interest & Independent Escalation. In territories where no authorised Vendor has been appointed, ANTBNR SOFTWARE LTD acts simultaneously as Platform operator and seller of record. ANTBNR acknowledges that this dual role creates a potential conflict of interest in dispute resolution. Accordingly, where a dispute arises from an order fulfilled directly by ANTBNR (not by a third-party Vendor), and the dispute cannot be resolved through direct communication with ANTBNR within 14 days, the customer has the right to escalate the matter through the following independent channels: (a) the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr (for EU-resident consumers); (b) the Cyprus Consumer Protection Service (for disputes governed by Cyprus law); or (c) any other competent consumer authority or alternative dispute resolution body in the customer’s country of residence. ANTBNR’s internal decisions in such cases do not foreclose the customer’s right to seek independent redress.
9. Returns, Cancellations & Refunds
9.1 Cancellation before Shipment. You may cancel an Order within 24 hours of placement, provided it has not yet been dispatched. Contact us at legal@regagro.com with your order number. Full refund will be processed within 5–10 business days, subject to Stripe’s processing schedule.
9.2 Defective or Incorrect Products. If you receive a Product that is defective, damaged in transit, or materially different from the listing description, you must notify us within 14 days of delivery with photographic evidence. We will, at our election: (a) replace the Product; (b) issue a full or partial refund; or (c) provide store credit.
9.3 Right of Withdrawal (EU Consumers). If you are a consumer residing in the European Economic Area, you have the right under Directive 2011/83/EU to withdraw from a distance contract within 14 days of receiving the goods, without giving any reason. To exercise this right, you must notify us at legal@regagro.com within 14 calendar days of delivery — notification within this window is sufficient to preserve your right even if the physical return takes longer. You must return the Product in its original, unused condition at your own shipping expense. Refund will be issued within 14 days of our receipt of the returned goods, or of proof of return shipment, whichever is earlier.
9.4 Non-Returnable Items. The following Products are excluded from returns for hygiene and regulatory reasons unless defective:
- Implanted or activated microchips
- Opened sterile items
- Customized or personalized products
9.5 Return Shipping. Due to the direct shipment model from China, return logistics may involve significant costs. We may offer a partial refund without requiring physical return of low-value items at our discretion.
9.6 Refund Mechanics via Stripe. To request a refund, the customer must contact ANTBNR at legal@regagro.com with their order number and reason for the request. Upon review and approval, the refund is initiated by the Vendor or Platform Administrator via the order management system and processed automatically through Stripe Express: the full amount is returned to the customer’s original payment method, and the corresponding funds are simultaneously reversed from the Vendor’s connected Stripe account. Refunds are subject to Stripe’s standard processing times (typically 5–10 business days depending on the customer’s bank). ANTBNR is not liable for delays caused by Stripe or the customer’s financial institution.
9.7 Insufficient Vendor Funds. In cases where insufficient funds are available in the Vendor’s Stripe account at the time of a refund, the refund may require manual processing. ANTBNR reserves the right to place a temporary hold on Vendor payouts to ensure refund coverage.
9.8 Stripe Transaction Fees. Stripe’s transaction fees are non-refundable. In the event of a refund, the original payment processing fee charged by Stripe will not be returned to the Vendor or to ANTBNR.
10. Intellectual Property
10.1 All content on the Website—including but not limited to software, text, images, and design—is the property of ANTBNR SOFTWARE LTD or its licensors and is protected by applicable intellectual property laws. The trade name and trademark “RegAgro” is registered to and owned by REGAGRO TECH CO., LTD (Shanghai, China) and is used by ANTBNR SOFTWARE LTD under licence. Unauthorised use of the “RegAgro” trademark is prohibited.
10.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for personal, non-commercial purposes only. Any other use—including reproduction, modification, distribution, or commercial exploitation—requires prior written consent from ANTBNR.
10.3 You must not: (a) scrape, data-mine, or systematically extract data from the Website; (b) use our trademarks without authorization; or (c) frame or mirror any part of the Website without permission.
11. Buyer Protection Policy
11.1 ANTBNR provides a Buyer Protection mechanism to safeguard purchases made through the Platform, whether from ANTBNR directly or from Vendors.
11.2 You are eligible for Buyer Protection if: (a) your Order was placed and paid through the Platform; (b) you did not receive the Order; (c) the item received was significantly not as described; or (d) the item arrived damaged through no fault of your own.
11.3 Claims must be submitted to legal@regagro.com within 30 days of the expected delivery date, supported by relevant evidence (photos, tracking screenshots, correspondence with Vendor).
11.4 ANTBNR will investigate claims within 14 business days and may issue a refund, replacement, or credit at our sole discretion. ANTBNR’s decision is final in Buyer Protection cases.
12. Disclaimers & Limitation of Liability
12.1 THE WEBSITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANTBNR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 ANTBNR does not warrant that: (a) the Website will be uninterrupted or error-free; (b) Products will meet your specific requirements beyond their stated descriptions; or (c) customs clearance will occur within any particular timeframe.
12.3 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTBNR’S TOTAL AGGREGATE LIABILITY TO YOU (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
12.4 IN NO EVENT SHALL ANTBNR BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS OR REVENUE; (C) CUSTOMS DELAYS, SEIZURES, OR IMPORT RESTRICTIONS; (D) ACTS OR OMISSIONS OF INDEPENDENT VENDORS OR CARRIERS.
12.5 Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under applicable law (including EU consumer protection rights).
13. Indemnification
You agree to indemnify, defend, and hold harmless ANTBNR SOFTWARE LTD, its directors, employees, agents, and licensors from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your failure to comply with import regulations in your jurisdiction.
14. Third-Party Services & Links
14.1 The Website integrates third-party services including Stripe (payments), WooCommerce/Dokan (marketplace infrastructure), and shipping carriers. Use of these services is subject to their respective terms and privacy policies. ANTBNR is not responsible for the acts or omissions of any third-party service provider.
14.2 Links to third-party websites are provided for convenience only. ANTBNR does not endorse or assume responsibility for third-party content, privacy practices, or products.
15. Prohibited Conduct
You agree not to use the Website to:
- Violate any applicable local, national, or international law or regulation
- Engage in fraudulent, deceptive, or misleading activity
- Infringe the intellectual property rights of ANTBNR or any third party
- Transmit harmful, defamatory, obscene, or offensive content
- Attempt to gain unauthorized access to any system or data
- Use automated tools to scrape, crawl, or index the Website without prior written consent
- Interfere with the proper functioning of the Website or circumvent security measures
16. Governing Law & Dispute Resolution
16.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions.
16.2 Jurisdiction. Subject to clauses 16.3 and 16.4, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.
16.3 EU Consumer Rights. If you are a consumer resident in the European Union, you retain the right to bring proceedings in the courts of your country of residence under applicable EU consumer protection law. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16.4 Informal Resolution. Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting ANTBNR at legal@regagro.com. We will endeavour to respond and resolve the dispute within 30 days.
17. Force Majeure
ANTBNR shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, war, civil unrest, pandemic, governmental restrictions, port closures, customs authority actions, industrial disputes, or failure of third-party logistics providers. In such events, affected obligations are suspended for the duration of the force majeure event.
18. Severability, Waiver & Entire Agreement
18.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.2 Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.3 These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and ANTBNR regarding the Website and supersede all prior agreements and understandings.
